Including: Terms of Sale, Order & Delivery Conditions, Payment Terms, Returns Policy, Warranty Terms, Installation Terms, and Intellectual Property

Effective Date: 1 June 2026  |  Version 2.0

IMPORTANT NOTICE TO ALL CUSTOMERS: These Terms of Business form a legally binding agreement between you and Anamorphic & Co. (trading as CasaVera). Please read them carefully before instructing design work or placing any order. Nothing in these Terms removes or restricts statutory rights that Consumers hold under UK law. If you have any questions, please contact us before proceeding.

For the avoidance of doubt, every product offered by the Company is a Made-to-Order Product.

"Design Work" means any design drawings, technical specifications, 3D visualisations, material schedules, mood boards, layout plans, or other design output produced by the Company for or on behalf of the Customer.

2.   Basis of Contract and Acceptance of Terms

2.1   These Terms of Business govern all design instructions, Orders, and supply of Goods and Services by the Company to any Customer. By requesting Design Work, placing an Order, paying the Order Deposit, providing Design Sign-Off, or making any payment to the Company, you confirm that you have read, understood, and agree to be bound by these Terms.

2.2   These Terms apply to both Consumer and Trade Customers. Where provisions are specific to one category, this is expressly stated. Where Consumer-specific provisions conflict with provisions of general application, the Consumer-specific provision prevails to the extent required by applicable law.

2.3   The Company reserves the right to amend these Terms from time to time. The version in force on the date a Order Deposit or Order Deposit is received shall apply to that instruction or Order.

2.4   No variation to these Terms is binding unless agreed in writing by an authorised director of the Company.

2.5   All Contracts are entered into in English and governed by the laws of England and Wales.

2.6   The Company's employees and agents are not authorised to make representations or warranties beyond those confirmed in writing by an authorised director or senior manager of the Company.

3.   Products, Services, and Product Range

3.1   CasaVera offers an extensive range of interior products and services including, but not limited to:

–     Bespoke and modular kitchens (contemporary, luxury, modern minimalist, shaker, and essential styles)

–     Custom wardrobes and storage solutions (melamine, PVC foil, lacquer, glass, genuine leather, and veneer finishes)

–     Bathroom furniture, vanities, basins, taps, showers, shower trays, shower cubicles, and toilets

–     Designer furniture for living, bedroom, dining, outdoor, and office spaces

–     Decorative and functional lighting

–     Internal and external security doors (classical, contemporary, designer, and glazed collections)

–     Decorative wall panels and surface finishes, including Onyx wall features

–     Flooring and surfaces, including wood flooring, tiles, marble, stone, and WPC decking

–     Home decor and accessories

–     Design consultation and project management services

–     Supply and installation services

3.2   The Company operates via direct OEM manufacturing partnerships across Europe and internationally. Products may be manufactured or sourced from the United Kingdom, the European Union, or other international markets.

3.3   Product images, renderings, and visualisations displayed on the Website, in catalogues, or in the Experience Centre are for illustrative purposes only. Actual products may differ slightly in colour, texture, grain, or finish due to manufacturing processes, photographic reproduction, and screen calibration. The Customer is strongly encouraged to inspect physical samples at the Experience Centre before finalising any specification.

3.4   The Company's product range, catalogue, collections, product lines, materials, finishes, and services are subject to change, discontinuation, replacement, or withdrawal at any time and without prior notice, as the Company develops its offer or responds to market, supply chain, or manufacturing conditions. The Company gives no warranty or representation that any specific product, material, or finish will remain available beyond the confirmed quotation validity period.

IMPORTANT — PRODUCT DISCONTINUATION: Where a product has been specified but is discontinued or becomes unavailable before completion of manufacture, the Company will offer an alternative of equivalent or greater value. No refund will be offered solely on the grounds of product discontinuation. The Company's obligation is to supply an equivalent alternative, not to cancel or refund the Order.

3.5   Where a specific material, finish, or component becomes unavailable after Design Sign-Off but before completion of production, Clause 9 (Material Availability and Substitution) will apply.

4.   Design Deposit and Commencement of Design Work

No Design Work will be commenced, prepared, shared, released, or communicated to the Customer — whether as a high-level overview, concept sketch, initial layout, or any other form — until the Order Deposit of 35% of the estimated project or product value has been received and cleared by the Company. This condition applies without exception.

4.1   Before the Company undertakes any Design Work, the Customer must pay a Order Deposit equal to 35% of the estimated total value of the proposed project or product(s), as set out in the Company's initial estimate or proposal.

4.2   The Order Deposit is non-refundable in all circumstances, including where:

–     No design work will commence until the 35% Order Deposit has been received.

–     The Order Deposit is non-refundable in all circumstances.

–     The Order Deposit compensates the Company for time and professional expertise used in producing design work and production drawings.

–     Payment of the Order Deposit does not transfer intellectual property rights.

–     Additional design revisions beyond the agreed scope may incur extra charges.

4.3   The Order Deposit compensates the Company for the time, skill, expertise, software, resources, and professional effort expended in producing Design Work. Payment of the Order Deposit does not transfer any Intellectual Property Rights in the Design Work to the Customer (see Clause 16).

4.4   Upon receipt of the Design Deposit, the Company will prepare and present Design Work to the Customer for review. The number of design iterations included within the Design Deposit is as agreed in the initial proposal. Additional design revisions beyond the agreed scope may be charged separately.

4.5   The Design Deposit forms the first instalment of the total project value. It is separate from and does not reduce the Order Deposit payable at Design Sign-Off. The three payment stages — 35% Order Deposit, 30% Order Deposit, and 50% balance — are sequential and each falls due at the stage described. Together they total 100% of the agreed Contract value.

5.   Intellectual Property and Protection of Design Work

5.1   All Intellectual Property Rights in and relating to any Design Work produced by the Company — including concept drawings, technical specifications, 3D visualisations, material schedules, layout plans, and any other design output — remain the sole and exclusive property of Anamorphic & Co. at all times, regardless of whether the Order Deposit has been paid and regardless of whether an Order proceeds.

5.2   Payment of the Order Deposit grants the Customer a limited, non-transferable, non-exclusive licence to use the Design Work solely for the purpose of reviewing and approving the design for the purposes of the proposed Order. This licence does not extend to any other use.

5.3   The Customer must not, without the prior written consent of the Company:

–     Share, distribute, publish, or communicate any Design Work to any third party

–     Provide any Design Work to any other supplier, manufacturer, contractor, designer, or competitor for the purpose of obtaining a competing quotation, replicating the design, or manufacturing similar or identical products

–     Reproduce, copy, adapt, modify, or incorporate any Design Work into any other document or communication

–     Use any Design Work for any commercial purpose other than placing an Order with the Company

DESIGN MISUSE — FINANCIAL REMEDY: If the Company has reasonable grounds to believe that any Design Work produced by the Company has been shared with, used by, or supplied to any third party — including a competitor, alternative manufacturer, or other supplier — for the purpose of replicating, manufacturing, or supplying the same or substantially similar products without the Company's authority, the Customer will be liable to pay the Company the full retail price of each product derived from or influenced by the Company's Design Work, as set out in the Company's then-current price list. This financial remedy is in addition to, and not in substitution for, any other legal remedy available to the Company, including damages for breach of copyright or design right.

5.4   The Company reserves the right to pursue all available legal remedies — including injunctive relief, an account of profits, and damages — against any Customer, third party, or competitor found to have misused or misappropriated the Company's Design Work.

5.5   All Company branding, trademarks, website content, catalogues, and marketing materials remain the exclusive property of Anamorphic & Co. and may not be reproduced or used without prior written consent.

5.6   The Company reserves the right to photograph completed installations and use photographs for portfolio, marketing, and editorial purposes, subject to appropriate Customer consent obtained in advance.

6.   Ordering Process

6.1   Customers may engage the Company through the Website, at the Experience Centre, or via a design consultation. All engagements follow the sequence set out in Clause 6.2 below.

6.2   The standard process for all Made-to-Order Products is:

  1. Initial consultation and enquiry
  2. Initial estimate provided
  3. Customer places order and pays Order Deposit (35%); order confirmation issued
  4. Production drawings prepared
  5. Design revisions and review
  6. Customer signs off production drawings
  7. Customer pays Production Payment (35%)
  8. Manufacturing and sourcing begin
  9. Balance Payment (30%) paid before shipment
  10. Delivery arranged

6.3   The Customer is solely responsible for ensuring that all information provided — including measurements, site dimensions, access constraints, and technical requirements — is accurate and complete. The Company accepts no liability for errors arising from incorrect information provided by the Customer.

6.4   Where the Customer instructs the Company on behalf of a third party (such as an interior designer procuring for their end client), the Customer assumes full responsibility for ensuring specifications are accurate and that the end client has approved the final design before Design Sign-Off. The Company has no contractual relationship with, and no liability to, the end client.

6.5   The Company reserves the right to decline any instruction or Order at its sole discretion without providing reasons.

7.   Design Approval and Sign-Off

Once a Design Sign-Off has been provided, NO changes, modifications, amendments, or substitutions to any element of the specification — including dimensions, materials, finishes, configurations, or quantities — will be accepted under any circumstances.

7.1   Before any Order is confirmed, the Company will present the Customer with detailed Design Work for review. The Customer must review all aspects of the design carefully, including measurements, configurations, material specifications, colour references, finish types, and hardware selections.

7.2   By executing a Design Sign-Off, the Customer confirms that they are fully satisfied with the design specification in all respects and authorises the Company to confirm the Order and proceed to production upon receipt of the Order Deposit.

7.3   Once Design Sign-Off has been provided and the Order Deposit received:

–     No changes to the specification will be accepted under any circumstances

–     Any amendment requested post-sign-off will be treated as a new Order and subject to new design, quotation, and payment processes

–     The Company shall not be liable for any dissatisfaction arising from failure to review specifications adequately before sign-off

8.   Pricing, Quotations, and Payment Terms

8.1   All prices are quoted in Pounds Sterling (GBP) and, unless otherwise stated, are exclusive of VAT. VAT will be added at the applicable rate at the time of invoicing. Delivery and installation charges are quoted separately.

8.2   Quotations are valid for thirty (30) days from the date of issue unless otherwise stated in writing. The Company reserves the right to revise prices after this period.

8.3   Prices displayed on the Website are indicative for standard configurations and may vary for bespoke or customised specifications. Confirmed pricing is set out in the formal quotation and Order Confirmation.

8.4   Payment Schedule Summary

Stage

Amount Due

With order

35% Order Deposit

Sign-off of production drawings, before start of production

35% Production Payment

Before shipment

30% Balance Payment

Delivery

Delivery charges payable before despatch

8.5   The three payment stages : 35% Order Deposit, 35% Order Deposit, and 30% Balance Payment before shipment : are separate, sequential, and together total 100% of the agreed Contract value. Each stage falls due as described above and does not reduce or offset any other stage.

8.6   Time of payment is of the essence. Failure to pay any sum when due may result in suspension of Design Work or production, delay in delivery, or cancellation of the Order. The Company reserves the right to forfeit deposits paid where the Customer is in default of payment obligations, subject to Consumer statutory rights.

8.7   Title to Goods does not pass to the Customer until all sums due under the Contract have been received and cleared in full. The Company retains a lien over all Goods in its possession or control until such payment is received.

8.8   Interest on overdue sums will be charged at 8% per annum above the Bank of England base rate pursuant to the Late Payment of Commercial Debts (Interest) Act 1998, where applicable.

8.9   Installation charge payment terms: 50% on booking confirmation; a further 30% on the commencement of on-site works; and the final 20% upon completion of installation works. 'Completion' means the works are finished and does not require the Customer's formal sign-off or acceptance.

9.   Delivery and Lead Times

9.1   All delivery timescales are estimates only. As all products are Made-to-Order, lead times vary depending on product category, customisation complexity, current production schedules, and international shipping routes. Estimated lead times are provided at quotation stage and confirmed in the Order Confirmation; they do not constitute a guarantee.

9.2   The Company sources and manufactures products from across Europe and internationally. Products may transit via sea freight, air freight, or land transport and may pass through third-party logistics providers and warehousing facilities.

9.3   The Company shall not be liable for any delay in delivery caused by a Force Majeure Event, including but not limited to:

–     Port congestion, industrial action, strikes, or customs clearance delays

–     Global shipping disruptions, vessel rerouting, or changes to shipping routes

–     Adverse weather, natural disasters, or environmental events

–     International sanctions, trade embargoes, or geopolitical events

–     Pandemic or public health restrictions

–     Delays caused by third-party logistics providers or customs authorities

9.4   No compensation, penalty, or damages will be payable by the Company in respect of any delay caused by a Force Majeure Event or by circumstances beyond the Company's direct control. The Company will keep the Customer reasonably informed and will provide revised estimates as soon as practicable.

9.5   Delivery charges are calculated based on distance from the Company's warehouse, the weight and volume of the Goods, the type of delivery service, and access or logistical considerations. Delivery charges are payable in full before Goods are despatched to the Customer's address.

9.6   Upon delivery, the Customer must inspect the Goods and note any visible damage, shortages, or discrepancies on the delivery documentation at the time of delivery. Any issues must be reported in writing within 48 hours of receipt. Failure to report within this timeframe may prejudice any subsequent claim.

9.7   Risk in the Goods passes to the Customer upon delivery to the Customer's nominated address. Where an Order comprises multiple items, partial deliveries may be made; each constitutes a separate delivery to which delivery charges may separately apply.

10.   Material Availability and Substitution

10.1   All products, materials, and finishes are offered subject to availability. Specific materials may become unavailable due to supply chain disruptions, manufacturer discontinuation, or import restrictions beyond the Company's control.

10.2   Where a specified material or component becomes unavailable after Design Sign-Off but before completion of production, the Company will notify the Customer and offer a suitable alternative of equivalent quality and value. The Customer will be required to select from alternatives proposed by the Company.

10.3   Where the Customer accepts an alternative in accordance with Clause 10.2, the Order will proceed on the revised specification and no refund will be due in respect of the material change.

10.4   Where no mutually acceptable alternative can be agreed, the Company may suspend or cancel the affected element of the Order and will refund the portion of the Order Deposit attributable to the cancelled element only, pro-rated against work completed and materials committed. The Order Deposit remains non-refundable in all circumstances.

10.5   Material unavailability due to circumstances outside the Company's control does not constitute a breach of Contract.

11.   Natural Materials, Colour Variation, and Handmade Products

Natural and handmade products are not produced to machine-uniform tolerances. Variations in appearance are an inherent characteristic of these materials and do not constitute a defect.

11.1   Natural Materials — including marble, granite, onyx, natural stone, solid wood, veneer, genuine leather, natural fabric, rattan, slate, and terracotta — are subject to the following inherent characteristics for which no liability or compensation will be accepted:

–     Variations in colour, shade, hue, or tone between batches, pieces, or items

–     Natural veining, patterning, graining, knots, or surface markings

–     Variations in texture, surface finish, or sheen

–     Natural imperfections including minor pitting, inclusions, fossils, or organic markings in stone

–     Changes in appearance over time due to natural ageing, patina development, or light exposure

11.2   Handmade and hand-finished products — including hand-painted cabinetry, hand-applied lacquer finishes, and artisanal furniture — may exhibit minor variations in finish, brushwork, or surface texture. These are characteristic of handmade products and are not defects.

11.3   Colour representation in digital images, printed catalogues, and display samples may vary due to photographic conditions, print processes, and screen calibration. The Company recommends that Customers inspect physical samples at the Experience Centre before finalising any colour-sensitive specification. Once Design Sign-Off has been provided, no claims relating to colour, grain, texture, or appearance variation will be entertained.

11.4   Customers requiring future material matching (e.g. additional tiles, flooring, or units) should order from the same batch at the time of the original Order, as batch variation cannot be guaranteed between subsequent orders.

12.   Order Confirmation, Cancellation, and the Right to Cancel

12.1   All Products are Made-to-Order — How this Affects Your Right to Cancel

CasaVera does not hold, sell, or supply any off-the-shelf or stock products. Every product offered by the Company — whether a fully bespoke configuration to the Customer's specific requirements or a standard product configuration — is a Made-to-Order Product that is manufactured, sourced, or procured exclusively for the Customer's individual Order. No product is held in stock.

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, Regulation 28(1)(b), the 14-day right to cancel does not apply to goods that are made to the Consumer's specifications or that are clearly personalised. Because every product sold by the Company is manufactured specifically for the Customer's Order — triggered only by receipt of the Design Sign-Off and Order Deposit — all products fall within this statutory exemption. Accordingly, the 14-day right to cancel does not apply to any Order placed with the Company.

IMPORTANT: By providing Design Sign-Off and paying the Order Deposit, the Customer expressly acknowledges that (i) the product is being manufactured specifically for them; (ii) the Order is confirmed; and (iii) the statutory right to cancel under the Consumer Contracts Regulations 2013 does not apply. This applies equally to Consumers and Trade Customers.

12.2   When an Order is Confirmed

An Order is confirmed, and the Contract becomes binding, upon both of the following conditions being satisfied:

–     The Customer has provided Design Sign-Off in writing; AND

–     The Order Deposit (30% of total invoice value) has been received and cleared by the Company.

Once both conditions are met, the Order is confirmed. The 20% Order Deposit paid at the outset and the 30% Order Deposit together represent 50% of the total Contract value. The remaining 50% balance is due before goods are shipped to the UK. Production, manufacturing, or procurement commences at the Company's discretion once the Order is confirmed.

12.3   Non-Cancellation of Confirmed Orders

Once an Order is confirmed in accordance with Clause 12.2, it cannot be cancelled by the Customer under any circumstances, including:

–     A change of mind or change in circumstances

–     A change instructed by the Customer's own end client

–     Financial difficulty

–     Delays in the Customer's project or construction programme

–     Any other reason within the Customer's control

Any request to cancel a confirmed Order will be considered solely at the Company's discretion. If the Company agrees to cancellation, all deposits paid — including the Design Deposit and the Order Deposit — will be forfeited in full. The Company reserves the right to invoice for any additional costs incurred in excess of deposits received, in respect of materials committed, production commenced, or third-party costs incurred.

12.4   Non-Refundability of the Design Deposit

The 20% Design Deposit is non-refundable in all circumstances without exception. It compensates the Company for Design Work undertaken, including the time, expertise, software, and resources expended in producing designs, specifications, visualisations, and related materials. This applies:

–     Whether or not the Customer proceeds to place an Order

–     Whether or not the Customer is satisfied with the Design Work

–     Whether or not Design Sign-Off has been provided

–     Whether the Customer is a Consumer or a Trade Customer

12.5   Distance and Off-Premises Contracts — Consumer Information

Where a Consumer enters into a Contract at a distance (e.g. online or by telephone) or off the Company's trading premises, the Company is required to provide information about the right to cancel. As set out in Clause 12.1, this right does not apply to Made-to-Order Products, which encompasses all products sold by the Company. The Company will confirm this in writing in its Order Confirmation. By proceeding with payment of the Design Deposit or Order Deposit, the Consumer expressly acknowledges this position.

13.   Returns and Refunds Policy

13.1   As all products are Made-to-Order and manufactured specifically for each Customer, the Company does not accept returns on the basis of a change of mind, change of specification preference, or dissatisfaction with characteristics inherent to Natural Materials or handmade products.

13.2   Returns will be accepted only in the following limited circumstances:

–     The Goods are proven to contain a material manufacturing defect covered under Clause 14 (Warranty); and

–     The defect has been reported within the applicable timeframes and the Company has confirmed, following inspection, that a manufacturing defect exists

13.3   The following Goods are expressly excluded from any right of return:

–     All Made-to-Order Products manufactured or procured to the Customer's Order — which is every product sold by the Company

–     Goods that have been installed, modified, assembled, or incorporated into a property

–     Goods that have been used, damaged, or are not in their original condition and original packaging

–     Natural Materials where the reason cited for return relates to colour, grain, texture, or natural variation (see Clause 11)

–     Goods where protective packaging, seals, or labels have been removed or tampered with

13.4   Where a manufacturing defect is confirmed and a return is agreed, the Company will arrange collection of the defective Goods at its own cost. The remedy will be as set out in Clause 14 (Warranty and Manufacturing Defects).

13.5   Refunds are only available in the following specific circumstances:

–     Where a material becomes wholly unavailable and no alternative can be agreed under Clause 10.4 — in which case only the Order Deposit element attributable to the cancelled product will be refunded, and the Design Deposit remains forfeited

–     Where a Force Majeure Event has persisted for more than six months and the Contract is terminated under Clause 20 — in which case Goods not yet delivered will be refunded less costs incurred

–     Where the Company is in material breach of the Contract and that breach cannot be remedied

13.6   Nothing in this Clause affects a Consumer's statutory rights under the Consumer Rights Act 2015 in respect of goods that are not of satisfactory quality, not fit for purpose, or not as described.

14.   Warranty and Manufacturing Defects

14.1   Subject to the exclusions and limitations in this Clause, the Company warrants that all Goods supplied under a Contract will be free from material manufacturing defects for a period of twelve (12) months from the date of delivery to the Customer ('Warranty Period').

14.2   A manufacturing defect means a defect that exists at the time of manufacture and causes the Goods to fail to conform to the agreed and signed-off specification. The following are not covered by the warranty:

–     Fair wear and tear from normal use

–     Damage caused by accident, misuse, neglect, abuse, or improper storage

–     Damage from installation not carried out by the Company or its approved contractors

–     Failure to follow the Company's care, maintenance, and cleaning instructions

–     Damage from excessive heat, moisture, humidity, chemicals, or abrasive products

–     Modifications, alterations, or repairs carried out without the Company's written consent

–     Cosmetic damage including scratches, dents, chips, or marks arising after delivery

–     Colour fading from UV exposure or environmental conditions

–     Structural issues arising from inadequate substrate, walls, or floors

14.3   The following product categories carry no manufacturing warranty due to the inherent nature of the materials:

–     Genuine leather upholstery and leather-finished products

–     Natural and woven fabrics and upholstery materials

–     Marble, granite, onyx, and all natural stone surfaces and products

–     Solid wood and natural veneer products where movement, variation, or surface change is expected under normal environmental conditions

14.4   Where the Company confirms that a manufacturing defect exists — meaning the Goods do not conform to the agreed signed-off specification due to the Company's or its manufacturer's error — the Company will, at its election, remedy the defect by:

–     Repair of the defective Goods or components; or

–     Replacement of the defective Goods or components

REMANUFACTURE TIMELINES: Where the agreed remedy requires the remanufacture and/or replacement of Goods or components — even where the defect is solely attributable to the Company's or its manufacturer's error — the Customer acknowledges and agrees that the remedy will be subject to the same lead times, production schedules, and international shipping timelines as the original Order. The Company will provide an estimated timeline for the remedy and the Customer must allow the full period required for remanufacture and re-delivery. No compensation, penalty, or damages will be payable by the Company in respect of the time taken to fulfil a warranty remedy.

14.5   To make a warranty claim, the Customer must:

12. Notify the Company in writing (by email to enquiries@casavera.co.uk) within the Warranty Period, with a description of the defect and photographic evidence

13. Allow the Company a reasonable opportunity to inspect the Goods remotely or by site visit

14. Preserve the Goods in their current condition and not attempt to repair, modify, or dispose of them before the Company has inspected them

14.6   Nothing in this Clause affects a Consumer's statutory rights under the Consumer Rights Act 2015.

14.7   For Trade Customers, the warranty obligations in this Clause are the sole and exclusive remedy for defective Goods, and all implied terms as to quality or fitness for purpose are excluded to the fullest extent permitted by law.

15.   Company Errors and Remedies

15.1   If the Company or a manufacturer acting on its behalf makes an error in production causing the Goods to deviate from the agreed and signed-off specification, the Company will promptly take corrective action at no additional cost to the Customer. Corrective action may include repair of the affected Goods or remanufacture and replacement of the affected Goods or components.

15.2   The Customer acknowledges that corrective action involving remanufacture or replacement will require the same production, sourcing, and shipping timelines as the original Goods. The Customer must allow the full period required for the remedy to be completed and may not impose or claim penalties, damages, or compensation for the time taken to deliver the remedy.

15.3   The Company will, upon confirming the defect and the agreed remedy, provide the Customer with an estimated timescale for delivery of the corrected or replacement Goods. This timescale is an estimate and subject to the same Force Majeure provisions as the original Order (see Clause 20).

15.4   If an error arises from incorrect specifications, measurements, or information provided by the Customer, or from the Customer's failure to review the Design Work adequately before Design Sign-Off, the cost of any rectification will be borne by the Customer. A separate quotation will be issued before any remediation works commence.

15.5   Any error must be reported in writing within 14 days of delivery. Late reporting may affect the Company's ability to remedy the issue.

16.   Installation Services

16.1   The Company offers supply-and-fit installation services for applicable products including kitchens, wardrobes, bathroom furniture, doors, and flooring. Installation is subject to a separate quotation and agreement.

16.2   The Customer is responsible for ensuring the installation site is structurally sound, clear of obstructions, compliant with all applicable building regulations, planning permissions, and legal requirements, and accessible during agreed working hours.

16.3   Any delays or additional costs arising from inadequate site preparation or undisclosed site conditions will be charged to the Customer.

16.4   Unless specifically agreed in writing, installation services do not include preparatory works such as plastering, tiling, electrical works, plumbing connections, structural alterations, removal of existing fixtures, or making good decoration beyond the direct installation scope.

17.   Limitation of Liability

17.1   Nothing in these Terms limits or excludes the Company's liability for death or personal injury caused by the Company's negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.

17.2   Subject to Clause 17.1, the Company's total liability in connection with any single Contract shall not exceed the total price paid by the Customer under that Contract.

17.3   The Company shall not be liable for any indirect, consequential, special, or incidental loss, including loss of profit, revenue, business, opportunity, goodwill, anticipated savings, or data.

17.4   The Company shall not be liable for loss arising from Force Majeure Events, material unavailability, inherent variation in Natural Materials or handmade products, errors arising from Customer-provided information, installation by the Customer or third parties, or failure to follow care guidelines.

17.5   For Trade Customers, the limitations in Clauses 17.2 to 17.4 apply in full.

17.6   For Consumers, the limitations in Clauses 17.2 to 17.4 apply to the extent permitted by the Consumer Rights Act 2015 and other applicable consumer protection legislation.

18.   Data Protection and Privacy

18.1   The Company processes personal data in accordance with the UK GDPR and the Data Protection Act 2018. Full details are available in the Company's Privacy Policy at www.casavera.co.uk.

18.2   By placing an Order or requesting Design Work, the Customer consents to the Company processing personal data as necessary to manage the engagement, process payments, arrange delivery and installation, and communicate about the Order or design instruction.

18.3   The Company will not share personal data with third parties except where necessary to fulfil the Contract or as required by law.

19.   Trade Customers and the CasaVera Trade Programme

19.1   The Company welcomes Trade Customers — including interior designers, architects, property developers, and contractors — through the CasaVera Trade Programme, which provides dedicated account management, preferred pricing, and access to an extended product range.

19.2   Trade Customers acknowledge and confirm that they are entering into the Contract in the course of their trade or profession. Trade Customers acknowledge that, as all products are Made-to-Order within the meaning of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the 14-day right to cancel applicable to consumers is not relevant to business-to-business transactions and does not apply. Trade Customers agree that Contracts are binding upon confirmation as set out in Clause 12.2 and cannot be cancelled.

19.3   Where a Trade Customer purchases products for supply to their own clients, the Trade Customer is solely responsible for ensuring accuracy of specifications and obtaining necessary approvals from their end client. The Company has no liability to the Trade Customer's end client.

19.4   Trade Customers confirm that they have not relied on any representation not contained in or annexed to these Terms of Business.

20.   Force Majeure

20.1   The Company shall not be in breach of any Contract, nor liable for any delay or failure to perform its obligations, where such delay or failure results from a Force Majeure Event.

20.2   The Company will notify the Customer as soon as reasonably practicable of any Force Majeure Event and will use commercially reasonable endeavours to mitigate its impact.

20.3   If a Force Majeure Event continues for more than six (6) months, either party may terminate the affected Contract by 30 days' written notice. In such event, the Company will refund sums paid in respect of Goods not yet delivered, less a fair deduction for work completed, materials procured, and costs committed. The Design Deposit remains non-refundable.

21.   Complaints Procedure

21.1   The Company is committed to resolving complaints promptly and professionally. Please contact us in the first instance:

–     By email: enquiries@casavera.co.uk

–     By post: Customer Relations, Anamorphic & Co., Unit 129, Clock Tower Road Industrial Estate, West London, TW7 6GF

21.2   The Company will acknowledge written complaints within 5 business days and provide a substantive response within 14 business days. Complex complaints may take longer to investigate.

21.3   If a Consumer remains dissatisfied following the Company's internal complaints process, they may refer the matter to an Alternative Dispute Resolution (ADR) scheme or, as a last resort, to the courts of England and Wales.

22.   Dispute Resolution and Governing Law

22.1   In the event of a dispute, the parties will attempt to resolve it informally in good faith. If unresolved within 30 days, the parties may by mutual agreement refer the matter to mediation.

22.2   These Terms of Business and all Contracts are governed by and construed in accordance with the laws of England and Wales. Each party submits to the exclusive jurisdiction of the courts of England and Wales, subject to any mandatory consumer protection rights.

23.   General Provisions

23.1   Severability: If any provision of these Terms is found to be invalid or unenforceable, it shall be deemed severed and the remaining provisions shall continue in full force.

23.2   Waiver: The Company's failure to enforce any provision on any occasion shall not constitute a waiver of its right to enforce it in future.

23.3   Entire Agreement: These Terms, together with any Order Confirmation, quotation, and written annexes, constitute the entire agreement between the parties and supersede all prior representations and understandings.

23.4   Assignment: The Customer may not assign any rights or obligations under a Contract without the Company's prior written consent. The Company may assign its rights to any group company or business successor.

23.5   Third-Party Rights: These Terms do not confer rights on any third party under the Contracts (Rights of Third Parties) Act 1999.

23.6   Notices: Notices must be in writing, delivered by hand, first-class post, or email to the last known address or email address of the recipient. Email notices are deemed received on the next business day following sending.
